User Content and Generated Content
You retain the rights you lawfully hold in the text, images, videos, audio, assets, prompts, and other original content that you upload, input, or submit to the platform. You represent and warrant that you have all necessary rights or permissions to use such content.
Your use of content generated through the platform is subject to the following limitations:
-
The subscription plan or benefits you use;
-
The terms of underlying AI models, third-party services, or asset providers;
-
The scope of authorization for any third-party materials you input, upload, or reference;
-
Applicable laws, regulations, and platform content policies.
Subject to your full compliance with these Terms, the license terms of underlying AI model providers, third-party material authorizations, and applicable laws, you shall hold relevant copyright interests in AI-generated outputs that meet the requirements of applicable copyright law. However, due to the technical nature of AI generation and constraints of underlying models, we do not warrant that generated content is commercially usable, non-infringing, or eligible for copyright registration. You shall independently assess and verify the compliance risks of using generated content for commercial purposes. Certain underlying model providers may impose additional usage restrictions on generated content, and it is your obligation to review the service terms of the corresponding model providers.
You may not use generated content for illegal, infringing, misleading, fraudulent, impersonation-related, privacy-invasive, or otherwise improper purposes. If generated content involves third-party rights or sensitive subjects, you are responsible for confirming the necessary permissions and compliance risks.
To provide, maintain, review, optimize, and secure the platform services, you authorize us to process your User Content and Generated Content within the necessary scope, including storage, parsing, display, transmission, safety review, troubleshooting, risk prevention, and service improvement. This authorization does not change your lawful ownership rights in your User Content.
Publicly Published Content
VSpace allows users to submit certain works for public display. Public display may include automated checks, manual review, categorization, artwork pages, homepage or inspiration gallery display, sharing links, and “create similar” features.
When you voluntarily submit or publish content publicly, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license solely for purposes related to the VSpace platform services:
-
Display, distribute, recommend, and share your public works within the VSpace platform;
-
Generate previews, covers, detail pages, categories, tags, and display materials for public works;
-
Use publicly published works in platform operations, product showcases, marketing, and case studies;
-
Support “create similar,” inspiration reference, and content discovery features related to public works.
This license is limited to what is necessary for public display and platform operations. You may withdraw, remove, or resubmit works through the features provided by the platform. However, reasonable displays, caches, sharing records, or information required to be retained by law that existed before withdrawal may take time to process. You may disable the “Allow Create Similar” function in your work publishing settings. Once disabled, other users will not be able to initiate similar generation based on your public work.
We have the right to review public content and may reject, delete, block, remove, limit distribution of, restrict account features for, or take other necessary measures against content that does not comply with our rules.
Intellectual Property
The VSpace platform software, interface, systems, model access capabilities, brand assets, trademarks, logos, page designs, feature structure, platform copy, and other platform resources are owned by us or the relevant rights holders.
Without our prior written permission, you may not copy, modify, sell, rent, transfer, distribute, reverse engineer, or otherwise use VSpace intellectual property.
If you submit feedback, suggestions, bug reports, or improvement ideas to us, we may use them to improve our products, services, and operations without payment to you. Such use does not give us ownership of your original User Content.
Intellectual Property Infringement Notice If any rights holder believes that content on the platform infringes upon their legitimate rights, they may send a written notice to us at support@vspace.ai. The notice shall include identity proof, contact information and address of the rights holder, specific location, links and corresponding ownership proof of the allegedly infringing content, clear infringement claim and legal basis, as well as a statement of authenticity and authorization of the notice.
Upon receipt of a compliant notice, we will promptly take necessary measures such as removal, blocking or deletion in accordance with applicable laws, and inform the notifying party of the handling result. If the complained party believes the content does not constitute infringement, they may submit a counter-notice, and we will handle the dispute based on the evidence submitted by both parties.
Paid Subscriptions and Billing
Certain premium features, usage quotas, model priority access, or value-added services on VSpace may require a paid subscription. By purchasing a subscription, you agree to pay according to the pricing, billing cycle, benefits, and Stripe payment process displayed at the time of purchase.
Subscriptions are generally renewed automatically on a monthly or annual basis unless you cancel renewal before the end of the current billing period. We will send you a renewal reminder via email or in-platform notice before each billing cycle; the exact advance notice period shall be as specified on the platform page or in the notice. After cancellation, the benefits already granted for the current billing period will generally remain available until the end of that period. After the period ends, your account will be adjusted to the free plan or other applicable status according to platform rules.
Subscription management, billing, payment method updates, and cancellation are handled through the Stripe Customer Portal or Stripe-hosted pages. Actual charges, invoices, failed payments, chargebacks, taxes, and payment method management are subject to Stripe’s records and page instructions.
Plan credits are granted, consumed, cleared, or refreshed according to the platform’s then-current rules. Periodic credits that have been granted generally do not roll over, have no cash value, and are not transferable, redeemable for cash or refundable. Credit handling for failed, cancelled, or abnormal generation tasks is subject to the platform’s actual billing and settlement rules; credits consumed for task failures not caused by the platform will not be refunded.
Unless otherwise required by applicable law or expressly stated by the platform, paid fees are not automatically refundable due to non-use, limited use, voluntary discontinuation, or cancellation of renewal. If you are a consumer located in the EU / EEA, you may have a statutory right of withdrawal. Should you exercise your right of withdrawal within the withdrawal period, we will process refunds in accordance with applicable law; we may deduct charges for services already rendered and content already generated. Your statutory right of withdrawal shall cease to apply if you explicitly request immediate provision of digital services and acknowledge the loss of such right of withdrawal.
Account Termination and Service Suspension
You may request account deletion in accordance with platform instructions. Before your account is officially deleted, you may export your own assets and generated works through platform features. After account deletion is completed, we will clear your user data in accordance with platform rules except for data required to be retained by law, and you will no longer be able to access or export relevant content. After your account is deleted, your right to access and use the platform services will terminate.
If you violate these Terms, platform rules, or applicable laws, or if there are risks involving security, fraud, infringement, abuse, or abnormal payment activity, we may take measures such as warning, feature restriction, temporary suspension, or permanent termination depending on the severity of the violation. If you disagree with the decision, you may submit an appeal via the customer support email.
After account or service termination, provisions relating to payments, settlement, intellectual property, content licenses, liability for violations, disclaimers, and limitations of liability will continue to apply to the extent their nature requires.
Disclaimers and Limitation of Liability
VSpace services are provided on an “as is” and “as available” basis. Due to AI model behavior, network conditions, asset quality, and user input, generated results may be inaccurate, unexpected, unsuccessful, interrupted, delayed, or blocked by safety policies.
We do not guarantee that the services will be uninterrupted, error-free, or vulnerability-free, nor do we guarantee that generated content will be suitable for your specific purposes. You are responsible for determining whether generated content is usable, lawful, accurate, and appropriate for public or commercial use.
To the maximum extent permitted by law, we will not be liable for any indirect losses, loss of profits, business interruption, data loss, reputational damage, or other consequential damages arising from your use of, or inability to use, the services. This limitation shall not apply to the extent prohibited by applicable law, including damages caused by wilful misconduct or gross negligence and liabilities that cannot be excluded under mandatory law.
If your violation of these Terms, unlawful use of the services, infringement of third-party rights, or uploading, generation, or publication of improper content causes claims, losses, costs, penalties, or damages to us, our affiliates, partners, or other users, you will be responsible for the resulting liability.
Miscellaneous
These Terms, together with the Privacy Policy, billing rules, content rules, announcements, and other service rules published by the platform, constitute the complete agreement between you and us regarding the VSpace services.
Governing Law and Dispute Resolution: These Terms shall be governed by the laws of the People’s Republic of China. If you are a consumer resident in the EU, EEA, United Kingdom or comparable jurisdictions, this choice of law shall not override mandatory local consumer-protection laws. Disputes arising between business users and us shall be submitted to the competent people’s courts located in Shenzhen, China. Consumers may bring proceedings either in Shenzhen, China or before the courts of their place of residence. Nothing herein shall prejudice either party’s right to apply for interim injunctive or protective relief under applicable law.
The Chinese and English versions of these Terms shall have equal legal force. In case of any ambiguity or conflict between the two language versions, the Chinese version shall prevail.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
We may update these Terms from time to time based on product, legal, regulatory, or operational needs. Updated Terms will be published on the platform and will take effect upon publication or on the date specified. Your continued use of the platform after the Terms are updated constitutes your acceptance of the updated Terms.
